Terms of business
Version 1.0 · Effective 25 October 2026 · YK Global FZC LLC
1. These terms
These terms apply to all services supplied by YK Global FZC LLC, a free zone company registered with Ajman NuVentures Centre Free Zone (ANCFZ) under licence 2624022047888, at BC-894583, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates(“we”, “us”).
Where we have signed a separate agreement with you, that agreement prevails. Where a quotation or statement of work states something different, that document prevails for that engagement. Otherwise these terms apply in full.
Your own purchase terms do not apply. Any terms you put forward — in a purchase order, portal, or by reference — have no effect unless we have agreed to them in writing and signed. Our performance of work is not acceptance of them.
2. Quotations
A quotation is valid for the period stated on it, or 30 days if none is stated, and is based on the scope, assumptions and exclusions written on it. If those assumptions prove wrong, we will tell you before doing additional work — not afterwards on an invoice.
A quotation is an invitation to contract, not an offer capable of acceptance by conduct. A contract forms when we confirm your acceptance in writing.
3. Prices and tax
Prices are in AED unless the quotation says otherwise. Where we quote in another currency, that currency is what is payable, and you bear any conversion cost and exchange movement.
YK Global FZC LLC is not currently registered for UAE VAT. Prices are exclusive of any tax that may become chargeable.
If any tax becomes chargeable on our services, it is payable by you in addition to the price. Prices exclude third-party costs — software licences, hosting, certificates, travel — unless the quotation states they are included.
4. Payment
Payment terms are stated on the invoice and vary by division: consulting is normally 30 days, software subscriptions 14 days, training 7 days, and commerce orders are payable on order. Payment is by bank transfer to the account on the invoice, or by card where a payment link is provided. Bank charges are yours.
You may not withhold or set off any amount against sums due to us. If an invoice is overdue we may charge interest on the outstanding amount at a reasonable commercial rate from the due date, and we may suspend work and access to deliverables and systems until it is paid. Suspension for non-payment is not a breach by us, and time for delivery extends by the period of suspension.
If you genuinely dispute an invoice, tell us in writing within 14 days with your reasons. We will stop collections activity on the disputed portion while we resolve it. The undisputed portion remains payable. We would rather settle a query than pursue a number you disagree with.
5. Subscriptions
Subscriptions renew automatically for the same period unless cancelled before the renewal date. Fees are not refundable for a period already begun. If a subscription falls into arrears we allow a grace period before any suspension, and a person will contact you before access is affected. Suspension is never automatic.
6. Delivery and acceptance
Dates are estimates given in good faith and are not of the essence unless a quotation expressly says so. We will tell you promptly if a date is at risk.
You have 10 working days from delivery of a milestone to test it against the acceptance criteria in the quotation and either accept it or give written notice of specific failures. If you do not, or if you put the deliverable into productive use, it is deemed accepted. Minor defects that do not materially impair use are not grounds to withhold acceptance; we fix them under clause 11.
7. Changes to scope
Either of us may request a change. We will tell you its effect on price and timetable, and the change takes effect once you confirm in writing. We are not obliged to perform work outside the agreed scope, and work done at your request outside it is chargeable at our then-current rates.
8. What we need from you
You will give us accurate information, timely decisions, access to the systems and people we need, and any licences or third-party consents required for us to do the work. You are responsible for the accuracy of what you give us and for backing up your own systems and data before we work on them.
Where our performance is delayed or made more costly by your delay, your act or omission, or inaccurate information, we are not liable for the consequences, dates extend accordingly, and we may charge the reasonable additional cost.
9. Intellectual property
Your material stays yours. Data, content and systems you give us remain your property. We use them only to do the work and return or delete them when the engagement ends, except where we must keep records for tax or audit.
Our pre-existing material stays ours. Our products, tools, frameworks, methods, templates and know-how — including anything developed before the engagement or used generally across our clients — remain ours absolutely.
Deliverables. On receipt of full payment we grant you a non-exclusive, non-transferable, perpetual licence to use the deliverables for your own internal business purposes. Until full payment, no licence is granted and any use is unlicensed. You may not resell, sublicense or redistribute the deliverables, or remove our notices from them.
We remain free to use the general skills, experience and know-how gained during an engagement.
10. Confidentiality
Each of us will keep the other’s confidential information confidential, use it only for the engagement, and disclose it only to those who need it and are under equivalent obligations. This does not apply to information that is public through no fault of the receiver, was already known, is independently developed, or must be disclosed by law. These obligations continue for three years after the engagement ends.
We may name you as a client and describe the general nature of the work, unless you tell us in writing not to.
11. Warranties
We warrant that we will perform the services with reasonable skill and care, by suitably qualified people, and that deliverables will materially conform to the agreed specification for 90 days after acceptance. Our sole obligation for a breach of that warranty is to re-perform the work or correct the deliverable, and that is your exclusive remedy.
Beyond that, and to the fullest extent permitted by law, we give no warranties, express or implied, including any implied warranty of merchantability, satisfactory quality or fitness for a particular purpose. We do not warrant that software will be free of all defects or operate without interruption, nor that any particular commercial, operational or financial outcome will be achieved.
The warranty does not cover defects arising from your modifications, use contrary to our instructions, third-party products, or changes in your environment after acceptance.
12. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, our total aggregate liability arising out of or in connection with an engagement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees paid by you to us for that engagement in the 12 months preceding the event giving rise to the claim.
We are not liable for loss of profit, revenue, business, anticipated savings, goodwill or reputation, loss or corruption of data, or any indirect or consequential loss, however caused, even if advised of the possibility.
You must bring any claim within 12 months of becoming aware of the circumstances giving rise to it.
These limits reflect the price of the services and the allocation of risk between us. Where you need a higher limit, tell us before the engagement — it is a commercial conversation and usually a priced one, not a reason for us to pretend the risk is not there.
13. Third-party products and demonstrations
Where we supply or configure third-party software or services, they are provided on the third party’s own terms and warranties, and we give none of our own in respect of them.
Demonstration environments are provided “as is”, for evaluation only, with no availability commitment, no support, no security assurance and no warranty of any kind. They contain fictitious data, are reset without notice, and must not be used in production or loaded with real personal data, client data or credentials. We accept no liability arising from their use.
14. Non-solicitation
During an engagement and for 12 months afterwards, you will not solicit or employ any of our personnel who worked on it, without our written consent. If you do, you will pay us a fee equal to 30% of that person’s first-year gross remuneration, which the parties agree is a genuine estimate of our loss in recruiting and training a replacement.
15. Termination
Either of us may terminate an engagement on 30 days’ written notice. We may terminate or suspend immediately if you fail to pay a sum when due and do not remedy it within 14 days of notice, become insolvent, or materially breach these terms and do not remedy it within 30 days.
On termination you pay for all work performed to that date and for commitments we have reasonably made on your behalf, which we will identify before making them. Clauses 9, 10, 12, 14 and 17 survive termination.
16. Force majeure
Neither of us is liable for failure or delay caused by events beyond reasonable control, including acts of government, armed conflict, civil disturbance, natural events, epidemics, failure of utilities, telecommunications or internet infrastructure, or the failure of a third-party service provider. The affected party will notify the other and may terminate if the event continues beyond 60 days.
17. General
Entire agreement. These terms, with the quotation and any signed agreement, are the entire agreement and replace all prior discussions. Neither of us relies on any statement not set out in them, except where made fraudulently.
Assignment. You may not assign or transfer your rights without our written consent. We may subcontract, remaining responsible for the work.
Severance. If any provision is held unenforceable, the rest continues in force and the provision is modified to the minimum extent necessary to be enforceable.
No waiver. A delay in enforcing a right is not a waiver of it.
No partnership. Nothing creates a partnership, joint venture or employment relationship, and neither of us may bind the other.
Notices. Notices must be in writing to the addresses on the quotation, or to legal@ykglobal.ae for notices to us.
Third parties. No person other than you and us has any right to enforce these terms.
18. Governing law and disputes
These terms and any dispute arising out of them are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman, including the regulations of Ajman NuVentures Centre Free Zone (ANCFZ).
We will first try in good faith to resolve any dispute by discussion between senior representatives within 30 days. Failing that, the courts of the Emirate of Ajman have exclusive jurisdiction, except that either of us may seek injunctive relief in any competent court to protect confidential information or intellectual property.
